This Hosting Agreement ("Agreement") outlines the specific terms governing the provision of Web Hosting, VPS, and related services ("Services") by AGXL Limited (Branch AGXLcloud) and GoMaKe UG (haftungsbeschränkt) ("Provider", "we", "us") to you ("Customer", "you"). This Agreement supplements our general Terms and Conditions.
1.1. The Provider provisions allocated server resources (CPU, RAM, Storage, Bandwidth) according to the hosting plan chosen by the Customer.
1.2. Local Geo Webhosting: The Customer has the option to select the geographic location of their server from over 130 locations globally. The Provider ensures that the primary data storage for this account remains within the chosen region, utilizing our network of proprietary and third-party data center partners.
1.3. Order of Precedence: This Hosting Agreement supplements our general Terms and Conditions. In the event of any direct conflict between the general Terms and Conditions and this Hosting Agreement regarding server infrastructure, the provisions of this Hosting Agreement shall prevail.
2.1. The Provider strives to maintain a network and server uptime of 99.9% per calendar month for paid hosting plans.
2.2. Uptime guarantees do not apply to free hosting plans. Downtime caused by scheduled maintenance, customer misconfiguration, DDoS attacks, or third-party backbone failures is excluded from the SLA.
3.1. Backups: While the Provider may maintain internal backups for disaster recovery purposes, the Customer is solely responsible for creating and storing independent backups of all website files, databases, and emails. The Provider shall not be held liable for any data loss.
3.2. Security: The Customer is responsible for securing their web applications (e.g., keeping WordPress and its plugins updated) and maintaining strong passwords.
4.1. Hosting plans are designed for normal web server operations. The Customer may not use the Services for continuous high-load background tasks, cryptocurrency mining, or as a mass file-sharing/storage repository.
4.2. In the event of excessive resource consumption that negatively impacts other users on a shared server, the Provider reserves the right to throttle resources, temporarily suspend the account, or request an upgrade to a VPS or dedicated environment.
4.3. Unmanaged Infrastructure: Unless a specific "Managed" add-on is purchased, all Services are provided strictly on an "unmanaged" basis. The Provider is responsible for hardware and network availability, but the Customer is solely responsible for server administration, software configuration, and CMS troubleshooting.
4.4. Bandwidth Limits and IP Addresses: If a Customer exceeds their allocated monthly bandwidth, the Provider reserves the right to throttle the connection speed or suspend the Service until the next billing cycle. Furthermore, any IP addresses provided remain the property of the Provider or its upstream partners and may be rotated or reclaimed if technically or legally necessary.
5.1. The Provider may immediately suspend the Services without liability if the Customer breaches this Agreement, our Acceptable Use Policy (e.g., hosting illegal content, SPAM), or fails to pay outstanding invoices.
5.2. Upon termination of the Services (by either party), all data hosted on the server will be permanently deleted in accordance with our Privacy Policy.
